The Fiducial Referral Program ("Referral Program'') allows you (the "Referrer") to earn a referral bonus ("Referral Bonus") for each successful referral of a Qualifying Referral (defined below) to Fiducial. To qualify, the Referrer must complete the online referral form at fiducial.com/make-referral. By submitting the referral form the Referrer agrees to accept these terms and conditions of the Referral Program.
How to Earn Referral Bonus
A Referrer can earn a Referral Bonus if a client ("Qualifying Referral") is referred to Fiducial by the Referrer using the online form, and the Qualifying Referral signs a Fiducial services agreement or engagement letter within sixty (60) days thereafter. A Qualifying Referral that has declined our service or has not signed a Fiducial services agreement or engagement letter within sixty (60) days of the submission of the referral form is not eligible for a Referral Bonus.
How Referral Bonus is Calculated
The Referral Bonus is calculated and determined by the type of services for which the Qualifying Referral engages Fiducial. We reserve the right to determine the eligibility and calculation of the Referral Bonus. Details regarding any engagement will not be released to the Referrer with out the referred clients prior express written consent to protect client confidentiality.
How Referral Bonus is Paid
If the Referrer has a balance owing to Fiducial for services, then any earned Referral Bonus will be first credited against the Referrer’s outstanding invoice(s). Otherwise, the Referral Bonus will be paid within fifteen (15) days after all conditions are met to earn the Referral Bonus. The Referral Bonus will be delivered via ACH transfer to Referrer’s bank account or via check sent to the Referrer’s address on file with Fiducial. The Referrer is solely responsible for the tax consequences, if any, that may result from the receipt of the Referral Bonus.
Severability
If any provision in these terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be deemed stricken from these terms and will not affect the validity of and enforceability of the remaining provisions.
Limitation of Liability
Fiducial and any of its officers, directors, employees, shareholders or agents, or any of them, shall not be liable to the Referrer for any amount or kind of loss or damage that may result to the Referrer or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with this Referral Program.
Termination and Changes
Fiducial may suspend or terminate the Referral Program or the Referrer's ability to participate in it at any time for any reason. Fiducial reserves the right to refuse to pay a Referral Bonus if it becomes aware of any fraudulent or abusive activity. Fiducial also reserves the right to review and investigate all referral activities and to suspend accounts or modify referrals in our sole discretion as deemed fair and appropriate.
Updates to the Terms
Fiducial further reserves the right to modify or update these terms at any time without prior notice. If we modify these terms, we will post the modification on the fiducial.com/make-referral website and it will be immediately effective upon posting. Continued participation in the Referral Program after any modification shall constitute consent to such modification by Referrer.
